Selling Your Business
If you are reading this, you have likely started considering selling your business. If so, you have made the first big step on your journey to potentially reaping the long-fought reward for all those years of hard work. But where do you start? What is the value of your business? What are the drivers of that value and how can you impact that value over time to secure the highest net proceeds? How do you identify and qualify buyer prospects? What are the potential pitfalls to closing a deal? JPR Consulting has the experience and the resources to effectively value, manage a competitive bid process, facilitate deal structure most advantageous to you, help you select the most desirable bid, and close timely.
We focus on the lower end of the lower middle market of transportation & logistics companies with revenues between $1M and $50M, but through our affiliation with Ridgefield Partners, a boutique M&A firm with offices in Seattle, Portland, Memphis, and Denver, we can service the M&A advisory needs of companies throughout the middle market segment.
Complex or Large Company Projects?

Jay Rundle serves as Managing Director of Transportation & Logistics with Ridgefield Partners and has direct access to a large number of active financial and strategic buyers in the T&L space. With Jay Rundle and Ridgefield Partners, you will collaborate directly with skilled and experienced experts throughout every stage of a sale through analysis and marketing preparation, due diligence, buyer selection, negotiations, and close. We will work tirelessly to secure a deal for you so that you are confident, as you sign closing documents, you have the best most lucrative transaction possible.
Preliminary Valuation Analysis
A high valuation depends on consistent and growing profitability. JPR Consulting prepares a preliminary evaluation of your business and industry to establish a range of most likely values. Our analysis, which considers a blend of valuation metrics, includes an analysis of deals recently closed in the space your company operates, and establishes realistic expectations before you entrust the sale of your company in our hands.
Due Diligence
Once we are engaged to officially represent you, we will work to gather detailed information about your company, its strengths and weaknesses, customer base, and unique position in the industry. If there are deficiencies or areas of improvement that need to be addressed in the accounting processes and financial reporting of the business, we will make recommendations and assist in those corrections and improvements. The product of this effort will be to create a marketing position that will attract the interest of active strategic and financial buyers.
Marketing
Based on our due diligence and our deep familiarity with you and your company, we will create a unique marketing plan and effective promotional materials. The initial presentation of your company to the market will be through the creation of a Confidential Information Memorandum (CIM) that will maintain the anonymity of your company while highlighting the unique features and qualities of our business that will draw the interest of those potential buyers who will be positioned to offer the highest value.
Identify the Right Buyer
Investing time and money in a would-be buyer is a tremendous waste of money and a huge distraction from the momentum of a marketing effort. We identify qualified prospects with the expressed ability to purchase and successfully operate your business post-close, which will be important if you intend to enhance deal value by remaining active in the company for a short time post-sale and a portion of the sale price is held as an earn-out. We are in direct and continuous contact with a large number of active buyers and can quickly bring at least several to the table in a competitive process for a desirable candidate.
Competitive Auction
Selling your home without several buyers competing among themselves reduces your leverage and almost always results in a lower sales price. Likewise, selling your company without at least 2 potential buyers vying to close with you, will almost certainly result in lower valuation and net proceeds. This has been demonstrated consistently in the market. We seek to leverage multiple buyers competing for your business and then structure a deal that maximizes your sales value and meets your desired outcome. We navigating this process in a way that keeps all parties engaged and active through a satisfactory bid, and excuted LOI.
Negotiations
In any sale, the two sides vie for advantage. The sale of a company is no different. Ultimate value as determined at closing is the result of some science but also a considerable degree of art. We guide you through every step of the process and ensure your input and perspective is held foremost along the way. Buyers will readily bring to the process skilled professionals in accounting, tax, legal, and regulatory disciplines. We are seasoned in working with such professionals and will keep you in control of the process and maintain a strong negotiating position.
